TERMS OF SALE (PURCHASE) OF PRODUCT: CONTRACT ACCEPTANCE

The following are the conditions that regulate the sale of our products.
We reserve the right to change the terms of sale. Any new rules will be effective from the moment they are published on our website and will apply to sales made from that moment. We therefore invite you to carefully read these conditions each time you purchase something from us.

1. Object of the online contract and its definition
By online sales contract, we mean the distance contract, namely the legal transaction concerning movable goods and/or services concluded between a supplier, in this case, WWTECH s.r.l. with its registered office in Milan, Via Roncaglia, 14 (hereinafter "the supplier"), and another natural or legal person (hereinafter "the customer") acting within the framework of their professional activity, as part of a distance selling system organized by the supplier that uses exclusively the distance communication technology known as "internet".
Therefore, all contracts will be concluded directly through the customer's access to the internet site at the URL www.WWT.it, where, following the indicated procedures and the legal conditions described in the e-commerce framework agreement that constitutes an integral part of this contract, the customer will conclude the contract for the purchase of goods and/or services.

2. Payment and delivery conditions
The "customer" can choose between the payment and delivery conditions available on the site. Payment or delivery methods other than those indicated to the customer are not allowed. The products are sold at the prices indicated on the site until they are modified; prices are expressed in Euro, and payment will be made in the same currency; prices do not include VAT.
The sale of products is only permitted in the indicated countries.
WWTech s.r.l. reserves the right to process orders received from EU member countries only if the requested products comply with the characteristics required by European regulations and to cancel any non-compliant orders. Products not intended for the European market by the relevant trademark owner may only be purchased outside the EEA in full compliance with the applicable regulations in the destination country, with WWTech s.r.l. also reserving the right to cancel orders not compliant with such regulations and it being the buyer's responsibility to verify their compliance. In this regard, WWTech s.r.l. reserves the right to suspend the execution of the order until the buyer provides reasonable evidence of compliance with the applicable regulations in the destination country, if requested.
Unless otherwise indicated, all orders are understood to be EX WORKS. The goods travel at the buyer's risk, through the courier and shipping service selected during the purchase.
If the sale is also addressed to non-EU countries, the amounts of duties and taxes will be borne by the recipient. WWTech s.r.l. commits to ensuring that the products travel with all necessary documentation for customs procedures.

3. Order acceptance
To place an order, you must be a reseller with a VAT number and the necessary trade authorizations, be of legal age, and be a registered user.
The orders that the "customer" sends will only be binding for the "supplier" when the "customer" receives an email confirmation from the "supplier" that the entire process has been completed correctly, the payment has been authorized, and the products are available. The "customer" must print and keep the email. If the confirmation email is not received within 4 (four) working days, please contact Customer Service (mailto: info@wwt.it).
If an order exceeds the available stock quantity, the "supplier" will inform the "customer" that the order can be fulfilled with lower quantities.
In no case will the "supplier" fulfill a customer's order in quantities greater than those requested.
The "supplier" reserves the right to change the price indicated on the site in case of significant variations, or over 5%, of the list price of the parent company during the order.
None of the information contained on our site can be considered an offer but constitutes an invitation to offer.

4. Delivery terms
The "supplier" undertakes to deliver the product to the carrier as quickly as possible.
Once the ordered product has been handed over to the carrier, the customer will be sent the tracking number of their shipment. The customer can then follow their shipment on the dedicated tracking page.
The transportation cost is borne by the "customer" according to the methods and rates in effect at the time of the order as displayed in the cart at the time of order confirmation.
The delivery times indicated in the delivery options represent the period the "supplier" expects to normally be necessary to deliver the products to the "customer". The "supplier" will strive to ensure that the "customer" receives the products within that time, but cannot be held responsible for any damages resulting from possible delays during transport.

5. Right of withdrawal
Since this is a B2B (business-to-business) site reserved for industry operators, sales are not covered by legislative decree n.185/99 relating to the "Right of Withdrawal" and therefore, by purchasing from the site www.wwt.it, you declare to be a commercial legal entity and with the electronic transmission of the order, you sign an actual purchase contract, waiving the right to withdraw from the contract.
Only if you receive non-integral, defective, or damaged goods during transport, must you immediately notify us, and in any case no later than 7 days from receipt of the goods.
You must return the products intact and in their original packaging. The return shipment of the products is at your expense and under your responsibility (i.e., all return costs are borne by the sender).
As soon as we receive the products, we will replace them (if available) or refund the amounts paid.
No claims will be accepted after seven (7) days from the receipt of the goods.
The "customer" declares to be aware that the "supplier" is not an official distributor of any of the Brands handled nor an agent, franchisee, licensee, or official partner.

6. Privacy
We inform you that law 196/2003 guarantees that the processing of personal data is carried out respecting the rights, fundamental freedoms, and dignity of individuals, particularly concerning confidentiality and personal identity. We will process your data lawfully and correctly, fully protecting your rights, especially your privacy.
You undertake to declare your true identity so that, in case of a formal request from the Judicial Authority, the necessary information can be provided to prosecute crimes possibly committed through the telematic tool.
Pursuant to article 10 of the aforementioned law, we inform you that the processing of your data (which will take place electronically) aims to execute the contract. Where necessary to execute the contract, we will transmit your data to the shipping company and other companies that will handle phases of the sales and shipping processes of the products. The provision of data is mandatory as it is necessary to execute the contract.
You expressly authorize us to send information to your email address about initiatives, events, promotional discounts, and product launches or to verify, without disturbing the regular use of the service, the visits you have made to the Web sites belonging to a predefined catalog drawn up and updated by us solely for planning and personalizing the sending of service emails in your interest.
In any case, we will not use the information in our possession for purposes other than those mentioned above nor will we communicate it to other companies outside our group.
Regarding data processing, you can exercise the rights provided for in art.13 of law 196/2003 at the competent offices.
We are the data controllers.

7. Delivery terms and invoice issuance
We commit to delivering the product to the carrier as quickly as possible. Once the ordered product has been handed over to the chosen courier (DHL, FedEx, UPS), the tracking details will be displayed on the site (in the "Order History" section), which are real identifiers to monitor at any time the path followed and the exact location of the shipped parcels. You will find the tracking highlighted both in the order confirmation email and on the "Order History" page.
(N.B. pursuant to art.6 of legislative decree 185/99, the order must be executed within 30 days from the order date).
The transportation cost is borne by you according to the methods and rates in effect at the time of the order and indicated in the cart, before order confirmation.
Upon shipment, an invoice is issued to the customer account holder who placed the order. The invoice will include the product costs and accessory charges (transportation, insurance, etc.).
No invoices will be issued after the shipment of the material nor to third parties other than the account holder who placed the order.
WWT.it usually ships within four (4) working days: we will do our best to ship the products within that time, but we cannot be held responsible for any damages resulting from possible delays during transport.

8. Warranty and Assistance
We guarantee that the products are free from defects. If you find any defects in the products, you must notify us as soon as possible, and in any case, within seven (7) days in writing by sending a registered letter with return receipt or via email or telegram.
We guarantee that the products comply with Italian and European Union (EU) regulations applicable to them.
Additionally, we inform you that we are not official distributors of the Brands sold on our site.
All products are covered by the Manufacturer's direct warranty for 12 (twelve) months if sold with an invoice, and 24 (twenty-four) months if sold with a receipt.
For products sold within the EU, the warranty is provided by the Manufacturer for items produced within the European Community; by the first Importer for items produced outside the EEC.
For sales outside the EEA, the conditions in force in the subject countries at the time of the sale apply, as stated in the user, maintenance, and warranty booklets of the products in the transaction.
The warranty must be stamped and filled out exclusively by the entity that will make the sale to the final consumer.

9. Authorizations
By filling in the appropriate space on the website, you authorize us to use your credit card - or another card issued as a replacement - and to debit your account in our favor for the total amount indicated as the cost of the online purchase. The entire procedure is carried out through a secure connection directly linked to AXERVE, a company of the BANCA SELLA S.p.A. Group, which provides the online payment service.

10. Liability
The "Supplier" cannot be held responsible for any disruptions caused by force majeure events such as accidents, explosions, fires, strikes and/or lockouts, earthquakes, floods, and other similar events that prevent, in whole or in part, the execution of the contract within the agreed times or make it impossible to execute.
The "Client" exempts WWTECH s.r.l. from any liability towards the "Client" themselves or their assignees or third parties for damages, losses, and costs incurred due to the non-fulfillment of the contract for the reasons mentioned above, having said subjects only the right to the refund of the paid price.
Similarly, the "Supplier" is not responsible for any fraudulent or illegal use that may be made by third parties of credit cards, checks, and other means of payment when paying for the purchased products. In case of delay or non-delivery of the products within the agreed times for which the "Supplier" is responsible, the "Client" may request compensation for damages resulting from up to a maximum amount of 5% of the price of the products subject to the late or non-performed delivery.

11. Purchaser's Obligations
Once the online purchase procedure is completed, you commit to printing and keeping these general conditions, which you have already viewed and accepted as a mandatory step in the registration and purchase process, as well as the product specifications being purchased, to fully meet the conditions of Articles 3 and 4 of Legislative Decree 185/99.

12. Applicable Law and Jurisdiction
All contracts concluded with us are deemed finalized in Italy and are subject to Italian law; any dispute relating to the application, execution, interpretation, and violation of online purchase contracts made through the www.WWT.it website is subject to Italian jurisdiction, Milan Court.
If you agree to regulate our contractual relationship under the conditions stated above, which you declare to have read and expressly approve, pursuant to and for the purposes of Articles 1341 and following of the Civil Code, the content of points 9. Authorizations 10. Liability 12. Applicable Law and Jurisdiction, continue the internet transaction by clicking "I ACCEPT."

INFORMATIVA PRIVACY (art. 13 Regolamento (UE) 2016/679 del Parlamento Europeo e del Consiglio)
Gentile utente,
la informiamo che per poter erogare i nostri servizi di vendita online, è necessaria la registrazione di alcuni dati personali, nonché il suo consenso informato al loro trattamento da parte nostra in stretta osservanza di quanto previsto dall’art. 13 del Regolamento (UE) 2016/679 del Parlamento Europeo e del Consiglio relativo alla protezione delle persone fisiche con riguardo al trattamento dei dati personali (“GDPR”).
In particolare, affinché possa prestare il suo consenso al trattamento in modo informato voglia leggere attentamente e tener conto di quanto segue.
1. TITOLARE DEL TRATTAMENTO: il titolare del trattamento dei dati personali da lei forniti è Web World Technologies S.r.l., con sede in Milano, via Roncaglia 14 (“WWTECH” o il “Titolare del trattamento”).
2. FINALITÀ E BASE GIURIDICA DEL TRATTAMENTO: i dati trattati dal WWTECH saranno esclusivamente quelli da forniti compilando le schede di accreditamento che sono finalizzate a permetterci di poter erogare i nostri servizi di consegna degli articoli di volta in volta ordinati, nonché, qualora di suo interesse, tenerla aggiornata sulle principali novità ed opportunità offerte dal mercato di riferimento dei prodotti commercializzati presso WWT.it. Pertanto la base giuridica su cui si fonderà il trattamento dei dati fornitici oltre a suo consenso sarà il legittimo interesse suo e del Titolare del trattamento:
a) all’esecuzione degli ordini di acquisto degli articoli, nonché
b) all’invio ed al ricevimento di eventuali informative in relazione alle novità ed opportunità offerte dal mercato degli articoli acquistabili online presso WWT.it.
I Suoi dati personali potranno essere trattati sia attraverso strumenti informatici, che supporti cartacei.
3. PERIODO DI CONSERVAZIONE DEI DATI PERSONALI: i suoi dati personali saranno trattati per un arco di tempo non superiore rispetto a quello strettamente necessario per il conseguimento delle finalità per i quali sono raccolti e trattati indicate al precedente punto 2. Di conseguenza, i suoi dati personali saranno trattati fintanto che non richiederà la cancellazione della sua registrazione presso WWT.it o fino alla sua cancellazione automatica che avverrà in caso non utilizzo dei nostri servizi per 12 mesi consecutivi. Non potendo quindi predeterminare il periodo di conservazione dei suoi dati personali, il Titolare del trattamento conferma che tratterà i suoi dati personali in stretta osservanza dei principi di adeguatezza, pertinenza e minimizzazione previsti dal GDPR, verificando annualmente la necessità della loro conservazione. La cancellazione della sua registrazione non coinciderà necessariamente con la cancellazione dei suoi dati personali perché il Titolare del trattamento dovrà necessariamente conservare alcuni suoi dati personali per il tempo strettamente necessario ad ottemperare ad eventuali obblighi di legge. Di conseguenza, il Titolare del trattamento conserverà questi dati per un periodo massimo di dieci (10) anni per far fronte a tali necessità od a richieste da parte delle autorità di controllo. Ciò, fatto salvo il caso in cui il Titolare del trattamento debba necessariamente mantenere per un tempo ulteriore tali dati per adempire ad eventuali obblighi normativi, oppure per accertare, esercitare o difendere un proprio diritto in sede giudiziaria.
4. CATEGORIE DI DESTINATARI DEI DATI PERSONALI
I dati trattati non saranno oggetto di diffusione a terzi, ma, in relazione alle finalità di trattamento indicate al precedente p.to 2, potranno, su base riservata e confidenziale, essere comunicati a, o venirne a conoscenza:
- i soggetti che possono accedere ai dati in forza di disposizione di legge previste dal diritto dell’Unione Europea o dal sistema legislativo dello Stato membro cui è soggetto il Titolare del trattamento;
- il nostro personale dipendente, purché sia precedentemente designato come soggetto che agisce sotto l’autorità del Titolare del trattamento a norma dell’art. 29 GDPR o nostro personale o terzo designato amministratore di sistema in conformità al Provvedimento del Garante per la protezione dei dati personali del 27 novembre 2008 e sue successive integrazioni e modificazioni;
- soggetti che svolgono, all’interno dei confini dell’Unione Europea, in totale autonomia, come distinti titolari del trattamento, o da noi designati responsabili del trattamento, finalità ausiliarie alle attività ed ai servizi di cui al p.to 2, ovvero operatori logistici, istituti bancari e assicurativi, centri di servizio, società o consulenti incaricati di fornire servizi al Titolare del trattamento, comunque sempre entro i limiti delle finalità per le quali tali dati sono stati raccolti.
L’eventuale comunicazione dei suoi dati personali avverrà nel pieno rispetto delle disposizioni di legge previste dal GDPR e delle misure tecniche e organizzative predisposte dal Titolare del trattamento per garantire un adeguato livello di sicurezza.
5. PROCESSI DECISIONALI AUTOMATIZZATI
Il Titolare del trattamento non utilizza processi decisionali automatizzati, men che meno la profilazione di cui all’articolo 22, paragrafi 1 e 4, del Regolamento Europeo.
6. NATURA DEL CONFERIMENTO
Il conferimento dei suoi dati personali per le finalità di cui al p.to 2.(a) che precede è facoltativo, ma la mancata autorizzazione al loro trattamento, non ci consentirà di adempiere agli obblighi di legge e/o a quelli derivanti dalla gestione di ciascun ordine, impedendo, di conseguenza, la sua esecuzione.
Il conferimento dei suoi dati personali per le finalità di cui al p.to 2(b) che precede è facoltativo, ma il mancato consenso al loro trattamento, non ci consentirà di inviarle informative sulle principali novità ed opportunità offerte dal mercato di riferimento dei prodotti commercializzati presso WWT.it.
7. DIRITTI DELL’INTERESSATO
In relazione al trattamento dei suoi dati personali, ai sensi del GDPR, in qualità di interessato, con comunicazione scritta al Titolare del trattamento, potrà:
 revocare il suo consenso al trattamento in qualsiasi momento senza che ciò pregiudichi la liceità del trattamento da parte del Titolare prima della data di revoca (art. 7 co 3° GDPR);
 richiedere l’accesso ai suoi dati personali (Art. 15 GDPR);
 ottenere la rettifica e l’integrazione dei suoi dati personali (Art. 16 GDPR);
 ottenere la cancellazione dei suoi dati personali secondo quanto previsto dall’art. 17 GDPR;
 ottenere la limitazione del trattamento dei suoi dati personali nelle ipotesi previste dall’art. 18 GDPR;
 ricevere i dati personali che la riguardano in un formato strutturato, di uso comune e leggibile da dispositivo automatico, nonché trasmettere tali dati ad altro titolare del trattamento senza impedimenti, così come previsto dall’art. 20 del GDPR;
 opporsi in qualsiasi momento, per motivi connessi alla sua situazione particolare, al trattamento dei suoi dati personali svolto ai sensi dell’art. 6, paragrafo 1, lettere e) o f), compresa la profilazione sulla base di tali disposizioni, così come previsto dall’art. 21 GDPR;
 non essere sottoposto a decisioni basate unicamente sul trattamento automatizzato, compresa la profilazione (ad es. qualsiasi forma di trattamento automatizzato di dati personali finalizzato ad analizzare o prevedere aspetti riguardanti le scelte di consumo e di acquisto, la situazione economica, gli interessi, l’affidabilità, il comportamento), che producano effetti giuridici che la riguardino o che incidano significativamente sulla sua persona (art. 22 GDPR);
 proporre reclamo ad un’autorità di controllo, qualora ritenga che il trattamento dei suoi dati personali avvenga in violazione del GDPR. In tale caso, il reclamo potrà essere proposto nello stato membro in cui risiede abitualmente, lavora o nel luogo dove si è verificata la presunta violazione (Art. 77 GDPR).
